Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and DEX Solutions ("DEX," "we," "us," or "our") governing your access to and use of the dexai.live platform, including our web application, APIs, Slack integration, Microsoft Teams integration, and all related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 16 years old to use the Service. By using DEX, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized access to your account.
• One person or organization may not maintain multiple free accounts.

4. The Service

4.1 Description

DEX is an AI-powered data analytics platform that allows you to upload datasets, connect databases, ask questions in natural language, and receive AI-generated insights, charts, and projections. The Service includes web-based access, Slack and Microsoft Teams bot integrations, database connections, and team collaboration features.

4.2 AI-Generated Content

The Service uses AI models to analyze your data and generate responses. You acknowledge that:

• AI-generated analyses, insights, charts, and projections are provided for informational purposes and should not be the sole basis for business decisions.
• AI outputs may contain inaccuracies, errors, or biases. You are responsible for verifying any AI-generated content before relying on it.
• DEX does not guarantee the accuracy, completeness, or reliability of AI-generated content.
• You retain all rights to your data. AI-generated analyses based on your data are provided to you as part of the Service.

4.3 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

5. Your Data

5.1 Ownership

You retain all ownership rights to the data you upload, import, or create through the Service. DEX does not claim ownership of your data.

5.2 License Grant

By uploading data to DEX, you grant us a limited, non-exclusive license to process, store, and analyze your data solely for the purpose of providing the Service to you. This license terminates when you delete your data or close your account.

5.3 Data Responsibilities

You are responsible for:

• Ensuring you have the right to upload and process the data you provide to DEX.
• Complying with all applicable data protection laws and regulations.
• Not uploading data that contains personally identifiable information (PII) unless your plan and data processing agreement permit it.
• Maintaining your own backups of critical data.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Upload malicious files, viruses, or code designed to disrupt the Service.
• Attempt to gain unauthorized access to other users' accounts, data, or institution workspaces.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools to scrape, crawl, or extract data from the Service without authorization.
• Resell, sublicense, or redistribute the Service without our written consent.
• Circumvent usage limits, rate limits, or access controls.
• Use the Service to build a competing product.
• Interfere with or disrupt the integrity or performance of the Service.

7. Plans, Billing, and Payment

7.1 Subscription Plans

DEX offers multiple subscription tiers with varying feature sets, usage limits, and pricing. Plan details are available on our pricing page. We reserve the right to modify plan features and pricing with 30 days notice.

7.2 Billing

• Paid plans are billed monthly or annually, depending on your selection.
• All fees are stated in US dollars and are non-refundable except as required by law.
• You authorize us to charge your payment method on a recurring basis.
• Failed payments may result in suspension of your account after a 7-day grace period.

7.3 Overages

If you exceed your plan's usage limits (analyses, storage, team members), overage charges may apply. Current overage rates: $0.10 per additional analysis, $2.00 per additional GB of storage. We will notify you before overage charges are incurred.

7.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, your account will remain active until the end of your current billing period. After that, your account will be downgraded and your data will be retained for 30 days before deletion.

8. Free Trial

All paid plans include a 14-day free trial. No credit card is required to start a trial. At the end of the trial, you must select a paid plan to continue using premium features. If you do not upgrade, your account will be limited to free-tier functionality.

9. Team and Institution Management

• Institution administrators ("Owners") are responsible for managing team members, roles, and permissions within their organization.
• Role-based access control governs what actions each team member can perform. Available roles are Owner, Admin, Analyst, and Viewer.
• The Owner is responsible for ensuring that team members comply with these Terms.
• Removing a team member revokes their access immediately. Their past activity remains in the audit trail.

10. Third-Party Integrations

DEX integrates with third-party services including Slack, Microsoft Teams, Google Sheets, Microsoft Excel Online, and various database providers. When you connect these services:

• You authorize DEX to access the data and functionality you explicitly grant.
• Third-party services are governed by their own terms and privacy policies.
• DEX is not responsible for the availability, security, or actions of third-party services.
• You may revoke integration access at any time from your DEX settings.

11. Intellectual Property

11.1 Our Property

The Service, including its design, code, features, documentation, trademarks, and branding, is owned by DEX Solutions and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.

11.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable license to use that feedback without obligation to you.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED CONTENT, ANALYSIS, CHART, OR PROJECTION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEX SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO DEX IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless DEX Solutions and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Termination

• You may terminate your account at any time by contacting us or using the account settings.
• We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, or fail to pay applicable fees.
• Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow for export, after which it will be permanently deleted.
• Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification) will continue to apply.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.

17. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. General Provisions

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and DEX regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
• Force majeure: We are not liable for failures caused by circumstances beyond our reasonable control.
